You must only use the Platform in accordance with these Terms and any applicable laws, and must ensure that your employees, sub-contractors and any other agents who use or access the Platform comply with the Terms and any applicable laws.

In order to access and use the Platform, you must be over 18 years of age. If you do not qualify, please do not access or use the Platform.

You grant to Trovey a perpetual, irrevocable, transferable, worldwide and royalty-free licence, including the right to sublicense, to use, host, store, copy, modify, reproduce, adapt, publish, display, communicate, distribute and promote any IPR in any Posted Material for the purpose of operating, providing, improving, marketing and promoting the Platform, including by displaying Posted Material in Brochures, destination pages, search results, promotional materials, social media posts and other Platform features.

If it is determined that you retain moral rights (including rights of attribution or integrity) in any Posted Material, you forever release Trovey from any and all claims that you could assert against Trovey by virtue of any such moral rights.

You indemnify Trovey against all damages, losses, costs and expenses incurred by Trovey arising out of any third party claim that your Posted Material infringes any third party's IPR.

Trovey acts as a passive conduit for the online distribution of Posted Material and has no obligation to screen Posted Material in advance of it being posted. However, Trovey may, in its absolute discretion, review and remove any Posted Material (including links to you, your profile or listings you have posted on the Platform) at any time without giving any notice, explanation or justification for removing the material and/or information.

You agree that you are responsible for keeping and maintaining records of Posted Material.

Trovey retains ownership of the Platform and all works, items, materials or information of whatever nature on the Platform (including text, graphics, logos, design, icons, images, sound and video recordings, pricing, downloads and software) (Platform Posted Material) and reserves all rights in any intellectual property rights owned or licensed by it not expressly granted to you.

You may make a temporary electronic copy of all or part of the Platform for the sole purpose of viewing it. You must not otherwise reproduce, transmit, adapt, distribute, sell, modify or publish the Platform or any Platform Posted Material without prior written consent from Trovey or as permitted by law.

We reserve the right to change any information, functionality, structure, features, discovery mechanisms, pricing, subscription tiers, tools, design, layout, systems, algorithms, artificial intelligence features or other aspects of the Platform at any time without notice, including Operator details, Brochures, destination pages, product descriptions, links, pricing, availability, Platform Content and any other information displayed on the Platform. Trovey may use automated systems, algorithms, artificial intelligence tools and other technologies to assist in the creation, display, moderation, optimisation, organisation or presentation of Platform Content, Brochures, search results, discovery features and other content made available through the Platform.

The Platform may contain links to third party websites, booking systems, social media pages, map locations, payment platforms, operator websites and other third party services that are not owned or controlled by us.

We have no control over the content, availability, accuracy, security, performance, terms, privacy practices or services of any third party website or service and we are not responsible for them.

Inclusion of any third party link on the Platform does not imply our approval, endorsement, recommendation or verification of that third party, their website, their services or any information made available by them.

If you click on a third party link, you leave the Platform and any booking, purchase, enquiry, payment, communication or other arrangement you enter into is solely between you and the relevant third party. Trovey is not a party to that arrangement and is not responsible for any loss, issue, dispute, cancellation, refund, injury, delay, failure or other matter arising from that arrangement.

Trovey is a digital discovery platform that allows Travellers to browse Brochures, save travel-related content and access links to third party websites, booking systems, social media pages and map locations. Trovey also allows Operators to create, claim, manage, edit and publish Brochures through the Platform.

Trovey is not a booking platform, travel agent, marketplace handling transactions, review platform, agent, representative or supplier of any Operator. Trovey does not process bookings, take commissions on bookings, guarantee pricing, availability, quality or suitability, or become a party to any transaction, booking or arrangement between a Traveller and an Operator.

Trovey may, from time to time, create and publish Brochures for businesses, tourism operators or service providers using publicly available information, internal design resources and other information available to Trovey.

A Brochure created by Trovey before it has been claimed by the relevant Operator is not an official representation of that Operator and may not be accurate, complete or current.

Where possible, Trovey may notify the relevant Operator that a Brochure has been created and may give that Operator the opportunity to claim, edit, approve, remove or otherwise manage that Brochure.

Trovey may remove, amend, suspend or unpublish any Trovey-created Brochure at any time without notice.

Once an Operator claims a Brochure, the Operator is responsible for reviewing, updating and maintaining the Brochure and ensuring that all information contained in the Brochure is accurate, complete, current and lawful.

The Platform may include document storage, itinerary, note-taking or similar functionality, including a feature known as Docbox, which allows Users to upload, save, store or manage travel-related documents, notes and information.

You are solely responsible for all documents, notes, files, information and other materials that you upload, save, store or manage through Docbox or any similar Platform feature.

Trovey does not review, verify, approve, manage or monitor the contents of documents, notes, files or other materials uploaded or stored by Users through Docbox.

You must not upload, save, store or manage any document, file, note, information or material that is unlawful, misleading, defamatory, offensive, harmful, malicious, confidential without authorisation, or that infringes any third party rights, including intellectual property rights or privacy rights.

Trovey may impose limits on the type, size, number or format of documents, files, notes or other materials that may be uploaded or stored through Docbox.

Trovey may remove, restrict, suspend or delete any document, file, note or other material uploaded or stored through Docbox if Trovey considers that it breaches these Terms, may expose Trovey to liability, may compromise the Platform or may otherwise be inappropriate.

You acknowledge and agree that your use of the Platform, including any reliance on any Brochure, link, Operator information, destination information, itinerary tool, Docbox feature, analytics or arrangement or communication entered into with another User or Operator, is at your own risk. We provide the Platform on an "as-is" basis and make no representations about the suitability, reliability, availability, timeliness, accuracy or completeness of anything contained on or made available through the Platform, including any Brochure, link, Operator information, pricing, availability, offer, promotion, location, map information, document storage feature or analytics. To the maximum extent permitted by applicable law, anything contained on or made available through the Platform is without warranty of any kind and we expressly exclude such warranties.

This disclaimer applies to the fullest extent permitted by law, and shall survive any termination or expiration of these Terms or your use of the Platform.

Subject to the other terms of this clause, we exclude all rights, representations, guarantees, conditions, warranties, undertakings, remedies or other terms in relation to the Platform that are not expressly set out in these Terms to the maximum extent permitted by law.

You hereby release us and our officers, directors, agents, related entities, related bodies corporate, employees and contractors from all Loss suffered by you or any other person relating to or arising out of the provision of the Platform or these Terms.

Subject to the other terms of this clause, our maximum aggregate liability to you in any 12-month period for any Loss or damage or injury arising out of or in connection with the Platform or these Terms, including any breach by us of these Terms, however arising, in contract, in tort (including negligence), under any statute, custom, law or on any other basis is limited to at our option the resupply of our services (being the Platform) or the payment of the cost of resupply.

We exclude any liability to you, whether in contract, tort (including negligence) or otherwise, for any special, indirect or consequential loss arising under or in connection with these Terms.

Further, you acknowledge and agree that where the Platform includes views, opinions, advice or recommendations, such views, opinions, advice and recommendations are not endorsed by Trovey and to the maximum extent permitted by law, Trovey excludes all liability for the accuracy, defamatory nature, completeness, timeliness, suitability or otherwise of such views, opinions, advice and recommendations.

Nothing in these Terms is intended to have the effect of excluding, restricting or modifying the application of all or any of the provisions of Part 5-4 of the ACL, or the exercise of a right conferred by such a provision, or any liability of ours in relation to a failure to comply with a guarantee that applies under Division 1 of Part 3-2 of the ACL to a supply of goods or services.

If we are liable to you in relation to a failure to comply with a guarantee that applies under Division 1 of Part 3-2 of the ACL that cannot be excluded, our total liability to you for that failure is limited to, at our option the resupply of the services or the payment of the cost of resupply.

This limitation of liability applies to the fullest extent permitted by law and shall survive any termination or expiration of these Terms or your use of the Platform.

You agree to be bound by the clauses outlined in Trovey's Privacy Policy, which can be found on the Platform.

Trovey reserves the right to terminate a User's access to any or all of the Platform (including any listings and memberships) at any time without notice, for any reason.

Notwithstanding termination or expiry of your membership or these Terms, the provisions of Part 1 and any other provision which by its nature would reasonably be expected to be complied with after termination, will continue to apply.

Trovey does not accept responsibility for loss or damage to computer systems, mobile phones or other electronic devices arising in connection with use of the Platform. You should take your own precautions to ensure that the process that you employ for accessing the Platform does not expose you to risk of viruses, malicious computer code or other forms of interference.

If you become aware of misuse of the Platform by any person, any errors in the material on the Platform or any difficulty in accessing or using the Platform, please contact us immediately using the contact details or form provided on our Platform.

In order to create, claim, manage, edit or publish a Brochure on the Platform, Operators are required to sign-up, register and receive an account through the Platform (Account).

As part of the Account registration process and as part of your continued use of the Platform, you may be required to provide personal information and details, such as your email address, first and last name, preferred username, secure password, billing details, postal and physical addresses, mobile phone number, business name, ABN or other business registration details, business profile information, payment details, verified identification and other information as determined by Trovey from time to time.

You warrant that any information you give to Trovey in the course of completing the Account registration process and using the Platform will always be accurate, honest, correct and up to date.

Once you complete the Account registration process, Trovey may, in its sole discretion, choose to accept you as a registered Operator within the Platform and provide you with an Account.

Trovey reserves the right to contact you about any concerning behaviour, Brochure, Posted Material, payment issue, complaint or other matter relating to your Account at any time.

Trovey may suspend or cancel your Account for any reason without notice, including for any failure to comply with these Terms.

(Payment Obligations) In order to access certain Operator features of the Platform, including creating, claiming, managing, editing, publishing or hosting a Brochure, being included within Trovey's discovery layer, accessing analytics tools or using any other paid Operator features, you may be required to pay the subscription fees set out on the Platform (Subscription Fees). Subscription Fees may be charged on either a monthly or annual basis at your election and subject to this being made available on the Platform, and are payable in advance at the time notified on the Platform or as directed by Trovey. All Subscription Fees and other amounts must be paid in Australian dollars.

(Subscription tiers) The features, inclusions, limits and functionality available to an Operator may differ depending on the subscription tier selected by the Operator, as set out on the Platform from time to time. Trovey may vary the features, inclusions, limits, functionality and pricing of any subscription tier at any time by updating the Platform or notifying you.

(Subscription access) Operators subscribe for access to the Platform, brochure creation and hosting tools, inclusion within Trovey's discovery layer, analytics tools and the features made available under the relevant subscription tier from time to time. Subscription Fees are payable for access to those tools and features, and not for any guaranteed ranking, visibility, traffic, engagement, enquiries, bookings, revenue or other commercial outcome.

(Features) The features, inclusions, limits and functionality available to an Operator may differ depending on the subscription tier selected by the Operator, as set out on the Platform from time to time. Trovey may vary the features, inclusions, limits, functionality and pricing of any subscription tier at any time by updating the Platform or notifying you.

(Free trial) Trovey may offer a 30 day free trial for Premium Tier access. Unless otherwise stated on the Platform, at the end of the free trial period, your subscription may automatically convert to a paid Premium Tier subscription and you authorise Trovey or its Payment Provider to charge the applicable Subscription Fees using your nominated payment method.

(Renewal) All subscriptions will continue to automatically renew at the then current Subscription Fee on the anniversary of their commencement date, whether monthly or annually, unless you cancel your Account or subscription in accordance with these Terms before the date that your subscription is due to renew. You are responsible for cancelling your subscription before renewal if you do not wish to continue your subscription.

(Add-ons) Trovey may make additional paid features, tools, products or services available as add-ons to a subscription (Add-ons). Unless otherwise stated on the Platform, Add-ons will renew on the same billing cycle as the relevant base subscription plan. Where an Add-on is purchased part way through a billing cycle, the fee for that Add-on may be prorated and aligned with the billing cycle for the base subscription plan.

(Payment method) Payment must be made by a method approved by Trovey. If Trovey permits you to pay via direct debit or credit or debit card, then you must nominate a bank account or debit/credit card which Trovey or its Payment Provider can debit for all Subscription Fees in accordance with these Terms. You irrevocably authorise Trovey and its Payment Provider to debit from your nominated account/card all amounts payable by you to Trovey at any time, immediately on the amount becoming due and payable, and without notice. This includes the Subscription Fees payable upon any automatic renewal of your subscription and any Add-ons. You must ensure that your account always has sufficient funds from which all Subscription Fees and other amounts can be drawn.

(GST) Unless otherwise indicated, amounts stated on the Platform do not include GST and you must pay GST on all amounts payable under these Terms at the same time as payment of the amount to which the GST relates.

(Card surcharges) Trovey reserves the right to charge credit card surcharges in the event that payments are made using a credit, debit or charge card.

(Online payment partner) We may use third-party payment providers, including Stripe, to collect payment of our Subscription Fees and any Add-ons (Payment Providers). The processing of payments by the Payment Provider will, in addition to these Terms, be subject to the terms, conditions and privacy policies of the Payment Provider and we are not liable for the security or performance of the Payment Provider. We reserve the right to correct, or to instruct our Payment Provider to correct, any errors or mistakes in collecting your payment.

(Suspension) Trovey may at any time without notice suspend an Operator's Account if any amount due to be paid by the Operator is overdue.

(Refunds) Subscription Fees, Add-on fees and any membership or subscription fee charged by Trovey are by default non-refundable, except as required by law. Subscription Fees and Add-on fees are charged at the beginning of each billing cycle and no refunds will be issued upon cancellation for the unused portion of the then-current billing cycle, except as required by law.

(Pricing Inaccuracy) In the event that we discover an error or inaccuracy in the prices set out on our Platform at the time at which you signed up for a subscription or Add-on, we will attempt to contact you and inform you of this as soon as possible. You will then have the option of proceeding with your subscription or Add-on at the correct price, or cancelling your subscription or Add-on. If you choose to cancel and payment has already been debited, the full amount incorrectly charged will be credited back to your original method of payment.

Trovey does not offer paid ranking or preferential placement of Operators or Brochures on the Platform. Visibility on the Platform is not influenced by the amount an Operator spends on its subscription.

Operators subscribe for access to the Platform, brochure creation and hosting tools, inclusion within Trovey's discovery layer, access to analytics tools and any other features made available under the relevant subscription tier from time to time.

The payment of Subscription Fees does not guarantee any particular ranking, placement, visibility, traffic, views, clicks, saves, engagement, enquiries, bookings, revenue or other commercial outcome.

Operators may cancel their subscription on the Platform at any time by using the Platform's functionality where such functionality is available, or otherwise by contacting Trovey.

Unless otherwise stated on the Platform, cancellation of a subscription will take effect at the end of the then-current billing cycle. The Operator will retain access to the dashboard, the relevant subscription features and any associated Add-ons until the end of the billing cycle in which the cancellation occurs.

Subscription Fees and Add-on fees are charged at the beginning of each billing cycle. No refunds of any amounts paid in advance in respect of the period following cancellation will be given, except as required by law.

If an Operator cancels only an Add-on, the Add-on will remain accessible until the end of the then-current billing cycle, and the base subscription plan will continue to be accessible as intended.

Following cancellation of an Account or subscription, Trovey may restrict, suspend, unpublish or remove the relevant Operator's Brochures and access to paid Platform features.

If an Operator deletes its Account, Trovey may allow the Operator to restore the Account if the Operator attempts to log in within 30 days after deletion. If any part of the Operator's paid billing cycle remains at the time the Operator restores the Account, the Operator may continue to access the Account until the end of that billing cycle. If the billing cycle has expired, the Operator may be required to purchase a new subscription to regain access.

If an Operator does not restore its Account within 30 days after deletion, Trovey may permanently delete or de-identify the Account, Brochures and associated data.

Depending on the subscription you select and pay for through the Platform, this may affect the features, inclusions, functionality or visibility available to you through the Platform. Notwithstanding that the Platform may indicate how your Brochure may feature or appear on the Platform for each subscription level, Trovey provides no guarantee that any Brochure will receive any particular ranking, visibility, views, clicks, saves, engagement, enquiries, bookings or commercial results.

Trovey may, in its absolute discretion, remove, amend, suspend, restrict, unpublish or disable access to any Brochure or Posted Material at any time if Trovey considers that it breaches these Terms, may expose Trovey to liability, may be inaccurate or misleading, may compromise the Platform, or may otherwise be inappropriate.

By listing yourself as an Operator on the Platform and creating, claiming, managing, editing or publishing a Brochure, you represent and warrant that:

you are able to provide the Operator Services specified or promoted in the Brochure;

you understand that Trovey does not hold insurance in respect of any Operator Services you may provide to a Traveller, including any public liability insurance, and that it is your responsibility to obtain and hold any such insurances;

all information in your Brochure, including pricing, availability, offers, promotions, locations, opening hours, booking links, service descriptions, images, videos, audio, logos and other media, is accurate, complete, current and not misleading;

you hold all rights, licences, consents and permissions required to publish and use all Posted Material included in your Brochure; and

there are no current legal, criminal, civil, administrative or regulatory proceedings against you or any individuals or companies involved in performing the relevant Operator Services that would reasonably affect your ability to provide those Operator Services or comply with these Terms.

The Platform may allow Operators to access analytics and engagement data, including views, clicks, saves and other general engagement information relating to their Brochures.

Analytics and engagement data are provided for general informational purposes only. Trovey does not guarantee that any analytics or engagement data will be accurate, complete, current, uninterrupted or suitable for any particular purpose.

You acknowledge that analytics and engagement data may be affected by technical issues, user settings, device settings, privacy settings, tracking limitations, system updates, third party services and other factors outside Trovey's control.

You must not rely on analytics or engagement data as the sole basis for making business, financial, operational or marketing decisions.

Trovey may collect, use, disclose, commercialise and otherwise process aggregated and anonymised platform-level data for its business purposes, including to analyse usage of the Platform, improve and optimise the Platform, develop new features, identify trends, prepare reports and support its commercial, marketing and operational activities, provided that such data does not identify an individual User.

You are responsible for the collection and remission of all taxes associated with the Operator Services you provide, any bookings, purchases, payments or transactions between you and Travellers, and your use of the Platform. Trovey will not be held accountable in relation to any transactions between Travellers and Operators where tax related misconduct has occurred.

To the extent permitted by law, Trovey reserves the right to keep records of Account activity, Brochures, Posted Material, communications, user posts, comments, feedback, cookies, IP address information, analytics and other information generated through use of the Platform for administration, compliance, security, dispute management and legal purposes. Trovey also holds the right to produce these records in the event of any legal dispute involving Trovey.

(Governing law) This agreement is governed by the law applying in Queensland.

(Jurisdiction) Each party irrevocably submits to the exclusive jurisdiction of the courts of Queensland and courts of appeal from them in respect of any proceedings arising out of or in connection with this agreement. Each party irrevocably waives any objection to the venue of any legal process on the basis that the process has been brought in an inconvenient forum.

(Amendments) These Terms may only be amended by Trovey in accordance with the Terms.

(Waiver) No party to these Terms may rely on the words or conduct of any other party as a waiver of any right unless the waiver is in writing and signed by the party granting the waiver.

(Further acts) Each party must promptly do all further acts and execute and deliver all further documents required by law or reasonably requested by another party to give effect to these Terms.

(Assignment) A party cannot assign, novate or otherwise transfer any of its rights or obligations under these Terms without the prior written consent of the other party.

(Entire Agreement) These Terms embody the entire agreement between the parties and supersede any prior negotiation, conduct, arrangement, understanding or agreement, express or implied, in relation to the subject matter of the Terms.
